The Extraordinary General Meeting (EGM) of Fastned B.V. (the “General Meeting”) will be held on 11 November 2025, 16:00 CET.  

Register,  record date, and voting

During this General Meeting, the FAST Foundation – being the 100% shareholder of the shares in Fastned B.V. – will vote on (i) the proposed re-appointment of Nancy Kabalt as a supervisory director per 11 November 2025  for a second term of 4 years and (ii) the adoption of the protocol virtual meetings. 

Depositary receipt (DR) holders are therefore also warmly invited to attend the meeting. DR holders are entitled to attend the meeting and ask questions related to the agenda. Please note that there is no voting right attached to DRs on this topic. You can apply for registration to attend the meeting via [email protected] before Tuesday, 4 November 2025.

2. Proposed re-appointment of Nancy Kabalt as Supervisory Director per 11 November 2025- for approval by FAST

It is proposed to re-appoint Nancy Kabalt (51) for a second term as Supervisory Director of Fastned B.V. as per 11 November 2025. Nancy Kabalt's initial appointment as Supervisory Director was on 11 November  2021, for a term of four years and she is eligible for re-appointment for another term of four years. The Supervisory Board has nominated Nancy Kabalt for re-appointment as independent Supervisory Director, since she has a very valuable contribution to the discussions and decision making in the Supervisory Board, given her both broad and in-debt knowledge of the energy transition and electric mobility, her valuable experience as supervisory board member and board member in other companies and her good helicopter view. The Supervisory Board has taken into consideration the diversity policy and the profile of the Supervisory Board and made a formal nomination for her re-appointment for a second term of four years.

3. Proposed adoption protocol virtual meetings

At the AGM held on 5 June 2025, it was discussed that Fastned intends to adopt a protocol for holding general meetings electronically at the upcoming Extraordinary General Meeting, in anticipation of the new legislation (Wet digitale algemene vergadering privaatrechtelijke rechtspersonen). This legislation will allow entities to hold fully digital general meetings once it enters into force.

The articles of association of Fastned B.V. have already been amended to enable the possibility of virtual meetings, as decided during the aforementioned AGM. The proposal is to formally adopt the protocol at the EGM to be held on 11 November 2025, so that it will take effect as soon as the legislation comes into force.

The protocol will restrict the use of fully virtual AGMs to specific, non-controversial, and non-material topics in order to safeguard shareholder and DR Holder trust. Once the legislation has come into force, Fastned will therefore already have a framework in place ensuring that only limited topics may be addressed in a virtual AGM, while all other matters will continue to be discussed in the traditional format familiar to Fastned’s stakeholders.
